Terms and Conditions of Service

Please read carefully before using this platform. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Akemera, Inc. ("Akemera," "we," "us," or "our"), a California corporation, governing your use of the Geo Appraise platform. By accessing or using Geo Appraise in any capacity — as an Inspector, a Customer, or otherwise — you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. Definitions

"Akemera," "we," "us," or "our"
Akemera, Inc., a California corporation operating the Geo Appraise platform. Akemera, Inc. is not a licensed appraisal firm, inspection company, or mortgage service provider.
"Geo Appraise"
The virtual inspection platform and product operated by Akemera, Inc., accessible at geo-appraise.vercel.app.
"Platform"
The Geo Appraise virtual inspection software, including the web application, all associated APIs, serverless functions, databases, and output documents.
"Inspector"
A registered user who holds an account on the Platform, creates inspection sessions, purchases Credits, and uses the Platform to conduct remote walk-through inspections.
"Customer"
A property occupant or owner who participates in an inspection session via an Inspector-provided link. Customers do not hold accounts but are subject to these Terms by virtue of participating in a session.
"Session"
A single, time-limited remote inspection event created by an Inspector, identified by a unique Session ID, during which a Customer transmits photos, GPS data, and video to the Inspector.
"Report"
The PDF document and associated ZIP archive generated by the Platform at the conclusion of or following a Session, incorporating Session photos, GPS metadata, timestamps, and session information.
"Credits"
Prepaid units purchased by Inspectors that are consumed upon Report generation. Credits do not expire and are non-refundable except as stated in Section 8.
"Content"
Any photographs, video, audio, GPS data, property addresses, names, notes, labels, or other data submitted to the Platform by an Inspector or Customer during a Session.
"GPS Data"
Geographic coordinates, accuracy radius, and associated timestamps recorded by a Customer's device and transmitted to the Platform during a Session.

2. Nature of the Service and Important Limitations

2.1 What Geo Appraise Is

Geo Appraise is a remote photo-capture and documentation platform. It enables an Inspector to observe a property remotely via a live video connection while a Customer walks through the property on their own device. The Platform records GPS-tagged, timestamped photographs and generates a structured Report.

2.2 What Geo Appraise Is Not

Geo Appraise is not, and does not purport to be, any of the following:

  • A licensed property inspection or appraisal service.
  • A substitute for an in-person appraisal conducted by a licensed appraiser.
  • A guarantee of property condition, structural integrity, or habitability.
  • A lender-approved inspection methodology. Acceptance of Reports by any lender, underwriter, or mortgage investor is solely at that party's discretion and is not guaranteed by Akemera, Inc.
  • A provider of legal, financial, or real estate advice.

Important: The compliance language contained in Reports — including references to "chain of custody," "cryptographic timestamping," and GPS verification — describes technical properties of the Platform's data capture methods. These descriptions are accurate to the best of our knowledge but do not constitute legal certifications, regulatory approvals, or representations that any lender or investor will accept Reports. Inspectors are solely responsible for verifying acceptance with their clients and counterparties.

2.3 GPS Accuracy Limitations

GPS coordinates recorded by the Platform are generated by the Customer's device using the browser Geolocation API. Accuracy is subject to device hardware quality, network conditions, and physical environment (e.g., indoor locations, urban canyons). Akemera, Inc. makes no representation that GPS coordinates will meet any particular accuracy standard or that they precisely reflect property boundaries. Photos with a recorded accuracy radius greater than 50 meters are flagged in the Report for reviewer attention but are not automatically excluded.

2.4 Photo Source Limitations

Reports distinguish between three categories of images: (a) Customer-captured photographs taken on the Customer's native device camera; (b) Inspector screenshots derived from the WebRTC video stream; and (c) map snapshot composites. Inspector screenshots are derived from compressed video data and may reflect lower image quality than native camera photographs. Akemera, Inc. makes no warranty regarding the evidentiary weight of any photograph type.

3. Account Registration and Inspector Eligibility

3.1 Registration Requirements

To use the Platform as an Inspector, you must create an account using a valid email address and authenticate via Firebase Authentication. You agree to provide accurate, current, and complete information at registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are liable for all activity conducted through your account. If you suspect unauthorized access, you must notify us immediately at the contact information in Section 15. Akemera, Inc. is not liable for losses arising from unauthorized account use resulting from your failure to safeguard credentials.

3.3 No Minimum Qualifications

Akemera, Inc. does not verify that Inspectors hold any professional license, certification, or credential. The Platform is a technology tool. Inspectors are solely responsible for ensuring that their use of the Platform complies with any applicable licensing laws, professional standards, or regulatory requirements governing property inspection or appraisal in their jurisdiction. If you use the Platform in a licensed professional capacity, you represent and warrant that you hold all required licenses and that your use of the Platform does not violate the scope of your license.

3.4 Prohibition on Misrepresentation

You must not use the Platform to create Reports that misrepresent: (a) the property inspected; (b) the date, time, or conditions of inspection; (c) your identity or credentials; or (d) the GPS location of photographs. Fraudulent use of the Platform in connection with a mortgage transaction may constitute federal or state criminal fraud.

4. Customer Participation

4.1 Participation via Session Link

Customers participate in Sessions via a unique, time-limited link provided by an Inspector. Customers do not create accounts. By participating in a Session, a Customer agrees to these Terms, including all data collection and usage provisions applicable to Customers.

4.2 Customer Responsibilities

Customers represent and warrant that:

  • They have authority to permit a remote inspection of the property being walked through.
  • They will not manipulate, conceal, or misrepresent property conditions during the Session.
  • They consent to real-time video transmission to the Inspector and to the recording of photographs and GPS data as described in these Terms.
  • They are at least 18 years of age or have the consent of a parent or guardian.
4.3 Session Expiry

Customer session links expire one hour after Session creation. After expiry, the Customer's write token becomes invalid and no further photos can be submitted to that Session. The Inspector may create a new Session if additional time is required.

5. Acceptable Use Policy

5.1 Permitted Uses

The Platform may be used only for lawful, good-faith remote property inspection and documentation purposes, including residential mortgage inspections, insurance documentation, property condition assessments, and related professional activities.

5.2 Prohibited Conduct

You must not:

  • Use the Platform to inspect properties without the knowledge and consent of the occupant or owner.
  • Manipulate, alter, or misrepresent photographs, GPS data, timestamps, or any other Session data.
  • Attempt to circumvent, disable, or exploit any security mechanism in the Platform, including write-token validation, session expiry, or credit atomicity controls.
  • Reverse-engineer, decompile, or attempt to extract the Platform's source code, server-side logic, or obfuscated client code.
  • Submit Content that infringes any intellectual property right, violates any privacy right, or contains malware.
  • Use automated scripts, bots, or tools to generate Sessions, consume Credits, or interact with the Platform at non-human scale.
  • Resell, sublicense, or white-label the Platform without express written authorization from Akemera, Inc.
  • Use the Platform in a manner that imposes an unreasonable load on infrastructure, including Firestore, Vercel serverless functions, or TURN relay servers.
  • Submit the personal data of any individual in excess of what is reasonably necessary for the inspection purpose.
5.3 Consequences of Violation

Akemera, Inc. reserves the right to immediately suspend or terminate accounts, invalidate Sessions, and forfeit unused Credits for violations of this Section without refund.

6. Data Collection, Storage, and Privacy

6.1 Data Collected

When you use the Platform, we collect and process the following:

  • Inspector account data: email address, display name, credit balance, and transaction history.
  • Session metadata: property address, Inspector name, Session ID, creation timestamp.
  • Photo data: thumbnail and full-resolution images, GPS coordinates, GPS accuracy, device-recorded timestamp, room label, notes, and source attribution.
  • Customer name: as entered by the Customer at the start of a Session.
  • WebRTC signaling data: ICE candidates and session description protocol messages, retained transiently for connection establishment.
  • Live GPS telemetry: real-time geographic coordinates transmitted continuously during a Session for map display purposes.
  • Stripe payment data: processed by Stripe, Inc. Akemera, Inc. does not store payment card data.
6.2 How We Use Data

We use collected data to: (a) operate and deliver the Platform; (b) generate Reports; (c) process Credit transactions; (d) detect fraud and misuse; (e) maintain platform security; and (f) improve the Platform. We do not sell personal data to third parties. We do not use Session Content for advertising.

6.3 Data Retention

Session data, including photos and GPS records, is retained in Firestore indefinitely unless an Inspector initiates deletion or requests deletion via the contact information in Section 15. Akemera, Inc. may delete Sessions inactive for more than 24 months with reasonable notice where practicable.

6.4 Customer Data and Inspector Responsibility

Inspectors are responsible for obtaining any consents required by applicable law before conducting a Session involving a Customer. To the extent the Inspector acts as a "business" and Akemera, Inc. acts as a "service provider" under the California Consumer Privacy Act (CCPA), the Inspector is responsible for compliance with applicable consumer rights obligations with respect to Customer personal data.

6.5 California Residents (CCPA)

California residents have the right to know what personal information we collect, the right to request deletion (subject to certain exceptions), and the right to opt out of sale of personal information. Akemera, Inc. does not sell personal information. To exercise these rights, contact us at the information in Section 15.

6.6 Data Security

We implement technical safeguards including write-token validation, session expiry controls, Firestore security rules, Firebase Authentication, and server-side-only access to sensitive operations. No data transmission over the internet or cloud storage system is completely secure. Akemera, Inc. cannot guarantee the absolute security of your data.

6.7 Third-Party Services

The Platform relies on the following third-party providers who may process data subject to their own privacy policies: Google Firebase (Firestore and Authentication); Vercel (serverless function hosting); Cloudflare (TURN relay services); Stripe (payment processing); OpenStreetMap/Nominatim (map tile rendering, no personal data transmitted). Akemera, Inc. is not responsible for the data practices of these providers.

7. Intellectual Property

7.1 Platform Ownership

The Platform, including its design, code, serverless functions, PDF generation logic, obfuscated client-side code, and all associated documentation, is the intellectual property of Akemera, Inc. and is protected by applicable copyright, trade secret, and other intellectual property laws. No rights are transferred to you except the limited license to use the Platform as described in these Terms.

7.2 Your Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant Akemera, Inc. a limited, non-exclusive, royalty-free license to store, process, transmit, and reproduce your Content solely for the purpose of operating the Platform and generating Reports. This license terminates upon deletion of the relevant Content or account, subject to reasonable archival retention periods.

7.3 Report Ownership

Reports generated from a Session are owned by the Inspector who initiated the Session. Akemera, Inc. retains a license to use anonymized, aggregated metadata derived from Reports for platform improvement purposes only.

7.4 Feedback

If you provide feedback, suggestions, or feature requests, you grant Akemera, Inc. an irrevocable, royalty-free right to use that feedback without obligation of compensation or attribution.

8. Credits, Payment, and Refunds

8.1 Credit System

Access to Report generation requires the consumption of Credits. One (1) Credit is consumed per Report generation. Credits are purchased in advance through the Stripe-powered checkout integrated into the Platform.

8.2 Pricing

Credit pricing is displayed at the time of purchase and may be changed by Akemera, Inc. at any time. Price changes apply prospectively to future purchases and do not affect Credits already purchased.

8.3 No Expiry

Credits do not expire and remain available until consumed or until your account is terminated.

8.4 Atomicity

Credit deduction is processed atomically using a Firestore transaction to prevent double-deduction. If a Report generation fails after Credit deduction due to a Platform error, you may contact Akemera, Inc. for a Credit restoration at our discretion.

8.5 Refund Policy

Credits are generally non-refundable. Exceptions:

  • Credits purchased in error within 24 hours and not yet consumed may be eligible for refund at Akemera, Inc.'s discretion.
  • If a Credit is consumed but no Report is generated due solely to a confirmed Platform failure, Akemera, Inc. will restore the Credit or issue an equivalent refund.
  • Statutory consumer refund rights in applicable jurisdictions are not excluded by these Terms.
8.6 No Refunds for Terminated Accounts

If your account is terminated due to a violation of these Terms, unused Credits are forfeited and no refund will be issued.

8.7 Pass-Through Pricing

Inspectors may pass Credit costs through to their clients. Akemera, Inc. is not a party to any fee arrangement between an Inspector and their client.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL REPORTS, CONTENT, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

AKEMERA, INC. SPECIFICALLY DISCLAIMS ANY REPRESENTATION THAT GEO APPRAISE CONSTITUTES A LICENSED INSPECTION OR APPRAISAL SERVICE. INSPECTORS USE THE PLATFORM AS A TECHNOLOGY TOOL AND REMAIN SOLELY RESPONSIBLE FOR THE PROFESSIONAL ADEQUACY OF THEIR INSPECTION SERVICES.

10. Limitation of Liability

10.1 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AKEMERA, INC.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID FOR CREDITS IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

10.2 Exclusion of Consequential Damages

IN NO EVENT SHALL AKEMERA, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM, EVEN IF AKEMERA, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Mortgage Transaction Losses

AKEMERA, INC. IS NOT LIABLE FOR ANY LOSS, DELAY, REJECTION, OR DAMAGE ARISING FROM A LENDER'S OR UNDERWRITER'S DECISION NOT TO ACCEPT A REPORT, FROM ERRORS OR INACCURACIES IN REPORTS, OR FROM THE USE OF REPORTS IN ANY REAL ESTATE OR MORTGAGE TRANSACTION. INSPECTORS ASSUME ALL PROFESSIONAL RESPONSIBILITY FOR THE ADEQUACY OF THEIR INSPECTION DOCUMENTATION.

10.4 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Akemera, Inc.'s liability is limited to the minimum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Akemera, Inc. and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

12. Termination

12.1 Termination by Inspector

You may terminate your account at any time by contacting us at the information in Section 15. Unused Credits are forfeited upon voluntary termination unless otherwise agreed in writing.

12.2 Termination by Akemera, Inc.

Akemera, Inc. may suspend or terminate your account, with or without notice, if: (a) you violate these Terms; (b) your use creates legal, regulatory, or reputational risk for Akemera, Inc.; (c) we are required to do so by law; or (d) we elect to discontinue the Platform. In the event of discontinuation, we will provide at least 30 days' notice where practicable and will refund unused Credits on a pro-rata basis.

12.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Sections 6, 7, 9, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact Akemera, Inc. at the information in Section 15 and attempt to resolve the dispute informally for at least 30 days.

13.3 Binding Arbitration

Except for claims for injunctive relief and claims within the jurisdiction of small claims court, all disputes arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the Consumer Arbitration Rules of the American Arbitration Association (AAA), applying California law. The arbitration shall be conducted in the State of California, or by telephone/videoconference. Each party shall bear its own attorneys' fees unless the arbitrator finds a claim frivolous.

13.4 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY.

13.5 Exclusions

Nothing in this Section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to protect intellectual property rights or prevent imminent harm.

14. General Terms

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Akemera, Inc. with respect to the Platform and supersede all prior agreements, understandings, and representations.

14.2 Amendments

Akemera, Inc. may update these Terms at any time. Updated Terms will be posted on the Platform. Continued use after the effective date constitutes acceptance. If a change materially reduces your rights, we will provide at least 14 days' notice before the updated Terms take effect.

14.3 Severability

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

14.4 Waiver

Akemera, Inc.'s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without Akemera, Inc.'s prior written consent. Akemera, Inc. may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.

14.6 Force Majeure

Akemera, Inc. is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including internet outages, natural disasters, government actions, or failures of third-party infrastructure providers.

14.7 No Agency

Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Akemera, Inc. Inspectors are independent professionals, not agents of Akemera, Inc.

14.8 Export Compliance

You agree to comply with all applicable export control laws. You represent that you are not located in, or a national of, any country subject to US trade embargo.

By creating an account, initiating a Session, or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Service.
